The JVC shall purchase appropriate comprehensive insur ance to cover various kinds of risks as would be usual for a joint venture enterprise engaged in the sanetype of industry andin manufacturing products similar fo the Products inclu ding without limitation product liability covering the manufacture and supply of the Products and such insurance shall be underwritten by an insurance company registeredin the PRC. The types. value and duration of insurance shall be decided by the Board of Directors after discussion with the insurance companies and Party B
The premiscs plant machinery and cquipment raw mate fials componens and the Producs shall beinsured byJVC for adcquate replacement valuc against fire storm tem pest， accident， flood theft and other risks which may de stroy or diminish the valoe of the Products or which may render the Products unfit for consumption

合营公司应为场地、厂房、机器设备、原材料、部件和产品投保，一旦发生火灾、风暴、暴风雨、事故、水灾、盗窃和可能损害或降低产品的价值或使产品不适宜于消费的其他风险，保险获得的赔付应足以重置该等财产。

The Company shall at its own COC and expcnse at al times during operationof the factory andother facilities and duringany construction work take ouand mainain fuland adequate property insurance covering the buildings con tents and cther firs party risks of the Company as are cus tomarily insured against in China The Company shall maintain product liability insurance third party liability insurance and other relevant insurance coverage in order to protect the Company， its employees agents and other appropriate parties from claims

公司应在工厂和其他设施营运期间以及工程施工期间，
自费购买并保有在中国按惯例应予保险的，包括公司建筑物、内部设施及其他第一方风险在内的全面和足够的财产保险。
公司应保有产品责任险、第三方责任险及其他有关险种，以保护公司、其雇员、代理人及其他有关方不会成为索赔对象。
During the term of this Agreement Pary A shall under take renew and maintain for its benefit and interest and at its own cost and expense， the following primary insur ance policies
（a） General Public Liabiity Policy with Party B being mamed as a co-insured covering all loss damage Or liability incured or arising from the operaion of the Services including witout linitaon for bodly injury death or property damage for an amount not less than RMB25，000,000 per accident or occur-rence；
（b）Employer's Liability Policy with Party B being named as a co-insured in conformity with local laws and regu latons and accepted practicc in the PRC:
（c） Property Damage Policy covering its premises against all risks of dircct physical loss or damage from any cause orif sucha policy is not available. against the risks of fire and associated risks such as cxplosion clectrical damage water damage riots strikes civil commotion，terrorism，windstorms，hurricanes，cy-clones，floods，burglary， theft and other similar risks；
（d） Property Damage Policy with Party B being mamed as the sole beneficiary covering lOSS Or damage to thc ma terials， Products， Bulk Products， Equipment and other property of Party B as a result of natural disaster or negligence or omission by Party As and
（e） Any other insurance policy or policies agains such oth er insurable risks as shall bc normal and customary in the PRC for operations similar to that of Party A· in cach case with Party B named inthe policy ora certifi-cate of insurance as losS payee additional insured Or in such manner as Party Bs insurance company and Party As insurance company may agree
Party Ashall inform PartyBof any changc to its insurance policies listedabovc which would result in a reduced insur ance coverage

[if !supportLists]（a） [endif]一般公共责任险，乙方应为共同被保险人，保险范围为因履行服务而发生的或引起的一切损失、损坏和责任，包括但不限于人身伤害、死亡或财产损坏，保险额为每次事故或事件不少于25，000,000元人民币；
[if !supportLists]（b） [endif]雇主责任险，乙方列为共同被保险人，此保险应符合中国地方法律法规和普遍接受的惯例；
[if !supportLists]（c） [endif]财产损害险，保险范围为其场所因任何原因发生直接有形损失或损害的一切风险，若无保险单，则为火灾风险和相关风险，如爆炸、电气伤害、水损害、暴乱、罢工、平民动乱、恐怖活动、风暴、飓风、龙卷风、水灾、盗窃和其他类似风险；
[if !supportLists]（d） [endif]财产损害险，乙方列为惟一受益人，保险范围为因自然灾害或甲方的过失或不作为而导致乙方的原料、产品、散装产品、设备和其他财产损失或损害。
[if !supportLists]（e） [endif]为与甲方经营活动相似的，在中国属于正常或惯例的针对其他可以保险的风险的任何其他保险，在每一险种的保险单或保险证明中，乙方均列为损害赔偿受偿人、附加被保险人，或按乙方的保险公司和甲方的保险公司约定的其他办法执行。
如果以上所列的保险单发生可能导致保险范围缩小的变化，甲方应通知乙方。
