根据《中华人民共和国合同法》及相关法律法规，本着平等自愿、互惠互利的原则，甲乙双方就乙方为甲方提供物流服务事宜，经友好协商，达成一致条款如下：
Whereas Party B desires to provide logistics service to Party A, the two parties, through negotiation and under the principles of equality, willingness, and mutual benefit, reach the following agreement under the Contract Law of the People's Republic of China and other applicable provisions.
1. 服务事项
1. Service
1.1 乙方依本合同规定为甲方提供物流服务，依甲方通知至指定地点提货并送货至甲方指定地点、交付予甲方指定收货人，包括但不限于物流方案设计、货物运输、进出口货物的转关、清关、检验检疫、单证服务、仓储服务、存货管理与分拨等物流服务项目。
1.1 Party B shall provide logistics services to Party A under the contract, picking up and sending goods to designated locations and delivering to designated consignees according to Party A's notification. Such services include but not limited to logistics solution design, goods transportation, customs transit, clearance, inspection and quarantine, documentation service, warehouse service, inventory control and distribution.
1.2 每次运输涉及之货物名称、数量、规格、包装、价值、交提货地点、时间及人员等依甲方托运单或类似文件具体规范。
1.2 For each shipment, the goods name, quantity, specification, package, value, pick-up and delivery locations, time and contact persons shall be subject to Party A's shipping instruction or similar documents.
1.3 乙方提货时，提货人员需提供其身份证明文件及乙方的授权证明，若甲方或甲方指定发货人有合理理由认为该提货人员未取得乙方授权，则有权拒绝其提货，因此造成的延误及损失由乙方承担。
1.3 When Party B arranges someone to pick up goods, the person shall show his/her identity document and Party B's authorization certificate. If Party A or its consignor reasonably believes that such person has not obtained Party B's authorization, the pick-up may be refused with any resulting delay and loss borne by Party B.
1.4 乙方运输后，每日需以书面方式（包括E-mail、传真等）向甲方反馈货物运输信息、货物提取、签收信息及其他相关或异常信息。
1.4 Upon carrying a shipment, Party B shall report the shipment information in writing (including by E-mail or fax) to Party A daily on goods transportation, pickup and delivery, receiving and other related information or abnormalties (if any).
1.5 乙方送货至甲方指定地点后，须将甲方指定收货人签收货物之凭证返回甲方。
1.5 Upon delivery of the goods to Party A's designated location, Party B shall send Party A the goods receipt signed by the consignee.
2. 费用结算
2. Payment
2.1 物流费用以双方签字确认之报价表为准，表内未规定的费用由双方另行协商确认。
2.1 Logistics costs are subject to the quotation sheet confirmed and signed by both parties. Any cost or expense not covered therein will be negotiated and confirmed by the two parties separately.
2.2 除本合同另有规定外，甲方不再支付除上述物流费用以外的任何费用给乙方，即各种税费、过路费、装卸费、运输费、保险费、仓储费及其他杂费等均包含在上述物流费用中。
2.2 Unless otherwise specified herein, Party A shall not pay Party B any costs other than the aforesaid logistics costs, i.e., all kinds of taxes, tolls, loading and unloading charges, transportation fees, insurances, warehousing costs, and other miscellaneous expenses are all included in the logistics costs.
2.3 乙方保证上述价格为最优惠之价格。若乙方在类似交易条件下提供给任何第三方之价格低于上述价格，则此较低价格应适用于本合同，甲方得据此减少应付费用。且若因市场行情价格下调，甲方得要求乙方相应降低上述费用。
2.3 Party B guarantees that the quoted rate is the most favorable. Should Party B offer a lower rate to any third party under similar trading conditions, that rate shall apply to this Contract, and Party A shall settle the logistics costs at the reduced rate accordingly. Furthermore, if market conditions require a downward adjustment, Party A has the right to request Party B to adjust the quotation accordingly.
2.4 本约物流费用的结算方式为：乙方需在每月 日前提供上月物流费明细，甲方于每月 日前完成核对确认，乙方开具足额有效的发票，甲方收到乙方发票确认无误后月结 日向乙方电汇支付到期应付款项。
2.4 Payment terms: Party B shall send a payment list of the previous month's logistics costs by the ____ day of each month. Upon receipt of the list, Party A shall review and confirm it by the ____ day of the same month. Party B shalll then issue a valid invoice for the full amount. Party A is required to settle the payable amount via T/T within net ____ days of receiving and verifying the invoice as error-free.
2.5 若乙方提供上述发票、数据有误，且经甲方通知后未作修正者，甲方可相应顺延付款义务，至乙方提供正确无误之发票、数据后，再依前款之规定结算付款。
2.5 In case that Party B fails to correct an invoice or data containing errors following Party A's notification, Party A may withhold payment until Party B provides a correct invoice and data. Party A will then settle the payment according to the new invoice under the foregoing terms.
